Structuring

We assist property traders in structuring their projects. Our involvement notably includes advising on the most suitable legal form, taking into account the nature of the transaction, the number and profile of investors, as well as financing arrangements. We also provide guidance on tax structuring, particularly when designing transactions eligible for tax incentive schemes such as déficit foncier or the Denormandie regime.

Taxation

At the core of our expertise, we advise property traders on the tax implications of their operations. Our analysis focuses first on transfer duties, especially assessing the feasibility of resale or construction undertakings. We also cover value-added tax, addressing issues such as asset qualification, the impact of works on that qualification, deduction rights, and the application of the VAT-on-margin regime. In addition, we handle construction-related taxes, including the development tax (taxe d’aménagement) and the specific tax on the creation of offices, retail space, and storage areas in the Île-de-France region (TCBCS-IDF).

Financing

We assist property traders in structuring their financing. Thanks to our network of banking partners, complemented by alternative solutions such as private financing or crowdfunding, we are able to identify the most suitable options for each project. Our support continues through to the completion of transactions. We analyze the tax consequences of disposals, taking into account the nature of the assets and the applicable regime, and advise our clients on the most appropriate methods for allocating or reinvesting their gains.
